Please review the following details of issue raised during processing of a project between our company (Top Control Co.) and Wenzhou Huashang Steel Co. Ltd. :

After several correspondences with Wenzhou Huashang steel co. requesting their offer for flanges and fittings they sent us their final offer on Aug.,20,2019 at total cost $ 107,146.08 CIF Alexandria port Egypt we accepted their offer so they sent us copy of their invoice# HS20190826 DD. Aug.,26,2019 via email at total $ 107,146.08 . According to their terms on Aug.,30,2019 we have transferred to them 30% ($ 32,143.82) of total invoice amount as advance payment .

There were two items (4&5) of this project not clear for Wenzhou Huashang regarding relative technical specification also to settle the exact marking requested by us so we’ve spent over ten days in correspondences to settle these pending information . On Sept.,11,2019 they have sent us an email notified us that they will be in holiday From Sep 12,2019 to Sep 15,2019 due to Mid-Autumn Festival Holiday . Due to some finance problems faced the Egyptian customer we have requested Wenzhou Huashang on Sept.,16,2019 to hold production of our order till further notes . From that date and after we did not request from them to restart production.

We have informed Wenzhou that we will accept to share the loss if any by deducting a suitable amount from our advance payment by return they advised that we have to pay 20% of total order i.e. $ 21,429.22 to enable them resell items already finished of production so they will refund only $ 10,714.60 to us, Actually we did not accept this offer and notified them we will not accept penalty unless we inspect the finished items (to be sure regarding the exact qty. already finished) thru our inspector and requested them to arrange for inspection but they did not accept any inspection and notified us that they already re-selled the finished items . logically that mean they did not finish production of any piece of any item of this project . On our part we have been waiting for obtaining any new order from any of our clients whether in Egypt or the UAE to replace it with the old order and notify Wenzhou Huashang then. Finally on May,04,2020 we have notified them that we received a new order for carbon steel pipes so we can replace it with the old order of fittings and we requested them to send us their offer accordingly they replied us that they have already lost our advance payment but they will try to submit an offer for the new required pipes we received their offer three days after totaling $ 32,589.00 and we sent them our acceptance . On May,09,2020 they sent us email that they will consider our new order of pipes as a new order so we have to pay complete cost of this order and if we want to get back our advance payment of old order of fittings we have to place orders with them at total $ 430,000.00 within three years which’s not believable and what is understood from it that they intend to confiscate and kept our advance payment of old order .

We kept contact with Wenzhou to clear this issue but till now they still insist to deduct amount of $ 21,429.22 from our advance payment.

This project with Wenzhou Huashang is our first business with them they kept our advance payment ($ 32,143.82) since last Sept.,2019. For your kind information we have previous business’s with many of Chinese companies such as Xuanda industrial group Co.,Ltd , Wenzhou Coosai Valve Co. Ltd. , Tianjin Xinyue Industrial and Trade Co.,Ltd All orders had been placed with above mentioned Chinese suppliers completed without any problems. Best Regards
